What is CREST?
 
CREST is a method for shareholders to hold their shares in demateralized form, rather than retain paper share certificates and is usually availed of by substantial shareholders. If you think that you could benefit from using CREST account you should discuss the issue with your broker. Greencore does not have a sponsored Corporate Crest nominee account available for private shareholders.

How do I transfer shares?  

If you wish to transfer some or all of your shares to another person, you will need to complete a Stock Transfer Form and then submit it to the Revenue and pay the relevant stamp duty. When the stamped Stock Transfer Form is returned you then need to forward it to the Registrar, Computershare. What is a dividend?  

A dividend is the money paid out per share to each shareholder, dividends are usually paid twice a year to all shareholders.  

How can I have my dividends paid to me? 

The Greencore Group plc dividend is usually declared in Euro and paid to the registered shareholder by cheque, however, you may elect to receive your dividend in Sterling also and have the proceeds paid directly into your bank or building society. Kindly note that Euro payments can only be paid into Euro bank accounts in the Republic of Ireland and Sterling payments can only be paid into Sterling bank accounts in the United Kingdom. If you wish to set up a mandate, please contact the Registrars on +353(0)1 2163100 or use the form on the reverse of your next dividend payment. Please also note that Greencore operates a Scrip Dividend Scheme through which a shareholder can receive shares instead of cash. See below for more details.  

Do I have to pay tax on my dividends?  

Greencore is obliged to deduct Irish dividend withholding tax unless the shareholder is entitled to an exemption, and has submitted the appropriate completed Revenue Declaration Form to the Registrar. The appropriate Revenue Declaration Form may be obtained from the Registrar. Non-Resident shareholders and certain Irish resident companies, trusts, pension schemes, investment undertakings and charities (as defined in the Taxes Consolidation Act, 1997) may be entitled to claim exemption from dividend withholding tax. If you are an individual shareholder who is tax resident in Ireland, you will not qualify for exemption and the withholding tax will be deducted in your case. 

What is the AGM? 

The Annual General Meeting ("AGM") is a meeting held by all companies once a year to which all shareholders are entitled to attend. At the AGM the board of directors will present the annual report and accounts to the shareholders, and answer any questions that you may have. You will also be asked to approve certain resolutions of the Company. 

Do I need to attend the AGM?  

You do not need to attend, but are very welcome. If you do not attend you may wish to complete a proxy form which will be enclosed with your AGM documentation so that you can vote on the resolutions which will be put forward at the Meeting.  

Can I re-invest my dividend?  

You will have the opportunity to invest your cash dividends in the Company's Ordinary Shares through the Scrip Dividend Scheme provided you are resident in Ireland or the United Kingdom. Scheme details are circulated to shareholders in advance of each dividend payment.  

I have not received my last dividend cheque. Who do I contact?  

Dividends are usually paid in March and September. If your cheque has not arrived, it may be that it has gone straight to your bank account. However, if you can find no trace of it, please contact the Registrar; Computershare at + 353 1 2163100 or at web.queries@computershare.ie  

I am receiving two or more sets of everything.  

How can I stop it?This probably means our Registrars have two or more separate accounts in your name, but with slightly different details. Please contact the Registrar; Computershare at + 353 1 2163100 or at web.queries@computershare.ie  

I thought I had sold all my shares but I have a number left?  

Usually this happens because you previously elected to receive your dividend in shares, not cash, and have sold your shares after the ex-dividend date. You may sell these remaining shares via your Broker.  

Can I have my cash dividends paid in Euro or other currency?  

Yes. The dividend is declared in Euro as a default currency. Should you wish to receive a dividend in Sterling please contact our Registrar; Computershare at + 353 1 2163100 or at web.queries@computershare.ie 

Where can I find my Registrars share account number? 

This is included on most of the personalised documentation we send you - for example you will find it on your share certificate(s), dividend warrants or tax vouchers. This account number will begin with the letters 'C' or 'G' and is followed by a ten digit numerical reference.
